These Terms do not replace a signed Clinic Hubs customer agreement, order form, business associate agreement, or other negotiated contract. If a signed agreement applies to your organization's use of the DME Hubs platform, that agreement controls to the extent of a conflict.
1. Scope and acceptance
These Terms of Service ("Terms") are a legal agreement between you and Clinic Hubs LLC ("Clinic Hubs," "we," "us," or "our"). They govern your access to and use of dmehubs.com, including its content, request-a-demo form, and other public website features (collectively, the "Website"). DME Hubs is a product offered by Clinic Hubs.
By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website. If you use the Website for an organization, you agree on behalf of that organization, and "you" includes the organization.
2. Eligibility and authority
You must be at least 18 years old and legally capable of entering into these Terms. If you act for a company, healthcare provider, DME/HME supplier, or other entity, you represent that you have authority to bind that entity. The Website is intended for business users and is not directed to children or patients seeking care.
3. Website and product information
The Website provides general information about Clinic Hubs, its DME Hubs platform for DME/HME, referral network, provider collaboration, AI/ML-assisted workflows, compliance assistance, fax integration, and related services. Website descriptions, demonstrations, examples, pricing illustrations, and projected results are informational and may change. They are not an offer, service-level commitment, reimbursement promise, or guarantee that a feature will meet every organization's clinical, billing, regulatory, or operational requirements.
4. Customer agreements and platform access
Requesting a demonstration, starting a conversation, or receiving information from Clinic Hubs does not create a customer relationship or give you a right to access the DME Hubs platform. Platform access, fees, implementation, support, data processing, service levels, permitted users, and other commercial terms are governed by the written agreements executed by Clinic Hubs and the customer.
If these Terms conflict with a signed customer agreement concerning the platform, the signed customer agreement controls for that platform use. These Terms continue to govern use of the public Website unless that agreement states otherwise.
5. Healthcare use and professional responsibility
Clinic Hubs is a technology provider. It does not provide medical advice, diagnose or treat patients, prescribe equipment, determine medical necessity, make coverage decisions, submit claims as a healthcare provider, or replace the professional judgment of licensed clinicians, DME/HME suppliers, billers, or compliance personnel.
AI/ML-assisted results, document classifications, extracted information, workflow prompts, compliance assistance, and other automated outputs must be reviewed by a qualified person before they are relied upon. Customers and healthcare professionals remain responsible for verifying accuracy, maintaining required documentation, applying payer rules, obtaining necessary authorizations, and making all clinical, fulfillment, coding, billing, and compliance decisions.
Do not submit protected health information (PHI), patient records, or sensitive medical information through the public Website or its request-a-demo form. A customer may use the DME Hubs platform for PHI only when its written agreement with Clinic Hubs expressly authorizes that use and all legally required terms are in place. These Terms are not a business associate agreement.
6. Acceptable use
You may not use the Website to:
- Violate any applicable law, regulation, court order, contract, or third-party right.
- Access or attempt to access any system, account, data, or feature without authorization.
- Probe, scan, test, bypass, or defeat security or authentication measures, except with Clinic Hubs' prior written authorization.
- Introduce malware, harmful code, excessive traffic, or any activity that disrupts or degrades the Website.
- Misrepresent your identity, affiliation, authority, or the source or purpose of a communication.
- Submit PHI, credentials, payment-card data, unlawful material, or information you do not have the right to provide.
- Copy, scrape, harvest, frame, mirror, reverse engineer, or commercially exploit the Website except as expressly permitted by law or in writing by Clinic Hubs.
- Use Website content or data to build, train, or improve a competing product, model, dataset, or service without our written permission.
Ordinary browser access and indexing by general-purpose public search engines are permitted when they respect our technical instructions and do not interfere with the Website.
7. Ownership and permitted use
The Website and its software, text, design, graphics, logos, trademarks, and other content are owned by Clinic Hubs or its licensors and are protected by intellectual property and other laws. Subject to these Terms, Clinic Hubs grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for legitimate internal business evaluation and communication with Clinic Hubs.
No other license is granted. You may not use the Clinic Hubs or DME Hubs names, marks, branding, or content in a way that suggests sponsorship, endorsement, or affiliation without prior written permission.
8. Information you submit and feedback
You represent that information you submit through the Website is accurate, lawful, and provided with all necessary authority and permissions. By submitting a business inquiry, you authorize Clinic Hubs to use the information to respond, evaluate the opportunity, and communicate with you through the contact methods you provide, in accordance with our Privacy Policy.
If you voluntarily provide suggestions, ideas, or other feedback about Clinic Hubs, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation. This does not grant Clinic Hubs ownership of your confidential information or PHI.
9. Privacy and security
Our Privacy Policy explains how we collect and handle personal information through the Website. Our Security Statement describes our general security approach. Those documents are incorporated into these Terms by reference where applicable, but neither document creates a warranty or replaces a signed customer agreement.
10. Third-party services and links
The Website may link to or rely on services operated by third parties. Clinic Hubs does not control and is not responsible for third-party content, availability, security, or privacy practices. Your use of a third-party service may be governed by that provider's terms and policies. A link does not necessarily imply endorsement.
11. Availability and changes
We may modify, suspend, restrict, or discontinue any part of the Website at any time. We do not guarantee that the Website will always be available, uninterrupted, secure, or error-free. We may correct errors and update content without notice.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." CLINIC HUBS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
CLINIC HUBS DOES NOT WARRANT THAT WEBSITE CONTENT OR PRODUCT DESCRIPTIONS ARE COMPLETE OR SUITABLE FOR YOUR NEEDS, OR THAT USE OF ANY CLINIC HUBS SERVICE WILL ENSURE LEGAL OR REGULATORY COMPLIANCE, DOCUMENTATION SUFFICIENCY, ORDER ACCEPTANCE, COVERAGE, PAYMENT, REIMBURSEMENT, OR A PARTICULAR PATIENT OR BUSINESS OUTCOME.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINIC HUBS AND ITS OFFICERS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF CLINIC HUBS AND THOSE PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PUBLIC WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). These limitations do not apply to liability that cannot lawfully be limited or excluded.
14. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Clinic Hubs and its officers, employees, affiliates, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your unlawful use of the Website, your material breach of these Terms, information you submit without authority, or your violation of another person's rights. Clinic Hubs may control the defense of any covered claim, and you agree to reasonably cooperate.
15. Suspension and termination
We may restrict or terminate your access to the Website if we reasonably believe you have violated these Terms, created risk or potential legal exposure, or threatened the security, integrity, or availability of the Website. Provisions that by their nature should survive termination will survive, including provisions concerning ownership, disclaimers, liability, indemnification, and disputes.
16. Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles. Any dispute arising from the public Website or these Terms must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their personal jurisdiction and venue. This section does not prevent either party from seeking appropriate injunctive or equitable relief for unauthorized access, misuse, or infringement.
17. General terms
These Terms, together with the policies incorporated by reference, are the entire agreement concerning the public Website unless a signed agreement states otherwise. If a provision is held unenforceable, it will be enforced to the maximum permissible extent and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. Clinic Hubs may assign them as part of a merger, reorganization, sale of assets, or operation of law. Headings are for convenience only.
18. Changes to these Terms
We may update these Terms as our Website, services, or legal obligations change. We will post the updated Terms on this page and revise the date above. Changes apply prospectively when posted unless a later date is stated. Your continued use of the Website after an update means you accept the revised Terms.
